Welcome to VidhyaEdu. These Terms & Conditions (“Terms”) govern your access to and use of the VidhyaEdu website, School Management Software, web-based services, mobile applications, and related services provided through https://vidhyaedu.in (collectively, the “Services”).

By registering for an account, starting a trial, purchasing a subscription, accessing the platform, or using any VidhyaEdu application or service, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, please do not access or use the Services.

1. About VidhyaEdu

VidhyaEdu is a cloud-based School Management Software delivered as a Software as a Service (SaaS) platform designed to help educational institutions manage their day-to-day academic and administrative activities.

The Services may include features such as:

  • Student and parent management

  • Staff and teacher management

  • Attendance management

  • Academic and subject management

  • Examination management

  • Fees and finance management

  • Assignments and lessons

  • Timetable management

  • Announcements and communication

  • School website management

  • Transportation management

  • Staff attendance

  • WhatsApp messaging and communication

  • Certificates and ID cards

  • Chat and other school-management features

  • Student & Parent mobile application

  • VidhyaEdu Staff mobile application

Features may vary depending on the subscription plan, configuration, school requirements, or updates to the platform.

2. Eligibility and Authority

The Services are intended primarily for schools, educational institutions, administrators, staff, teachers, students, parents, and other authorized users.

If you create or manage an account on behalf of a school or institution, you confirm that:

  • You are authorized to represent or act on behalf of that institution.

  • The information provided during registration is accurate and complete.

  • You have the necessary authority to provide and manage information belonging to the institution and its authorized users.

  • You are responsible for ensuring that users associated with your school use the Services in accordance with these Terms.

3. School Registration and Account

When registering a school or creating an account, you may be required to provide information such as:

  • School name

  • School email address

  • Mobile number

  • School address

  • Administrative information

  • Other information required to configure the Services

You agree to provide accurate, current, and complete information.

You are responsible for keeping account information up to date and for maintaining the confidentiality of login credentials.

You must immediately notify VidhyaEdu if you become aware of unauthorized access, suspicious activity, or misuse of your account.

4. User Accounts and Access

Schools may create or authorize accounts for administrators, staff, teachers, students, parents, drivers, or other permitted users.

The school or institution is responsible for:

  • Assigning appropriate access permissions.

  • Managing its users and login credentials.

  • Removing access when a person is no longer authorized.

  • Ensuring that users do not share credentials improperly.

  • Ensuring that information entered into the platform is accurate and lawful.

VidhyaEdu may restrict, suspend, or terminate access where misuse, unauthorized access, security concerns, or violation of these Terms is identified.

5. Free Trial

Where offered, VidhyaEdu may provide a 3-day free trial for eligible schools.

The trial allows the school to evaluate the Services before purchasing a subscription.

At the end of the trial period, continued access to subscription-based Services may require payment for an applicable subscription plan.

If payment is not completed after the trial period, VidhyaEdu may restrict, suspend, or disable access to the Services.

VidhyaEdu may change, discontinue, or limit free-trial availability at its discretion.

6. Subscription and Payment

Certain Services require a paid subscription.

Subscription prices, plans, features, billing periods, and applicable taxes may be displayed on the VidhyaEdu website or communicated directly to the customer.

You agree to:

  • Pay applicable subscription charges on time.

  • Provide accurate billing information.

  • Pay applicable taxes and transaction charges where required.

  • Maintain valid payment details where recurring billing is applicable.

Failure to make required payments may result in restriction, suspension, or termination of access to paid Services.

VidhyaEdu reserves the right to modify pricing or subscription plans. Where applicable, changes may be communicated through the website or other appropriate communication channels.

7. Refund and Cancellation

Refunds, cancellations, and subscription-related adjustments are governed by the VidhyaEdu Refund & Cancellation Policy.

Please review the applicable Refund & Cancellation Policy before purchasing a subscription.

Unless otherwise expressly stated, payment for a subscription does not automatically guarantee a refund for unused time, partially used subscription periods, or discontinued usage.

8. School Data and User Content

Schools and authorized users may enter or upload information into VidhyaEdu, including student, parent, staff, academic, attendance, fee, examination, communication, and other school-related information (“School Data”).

The school remains responsible for:

  • The accuracy and legality of School Data.

  • Obtaining appropriate permissions, notices, and consents where required.

  • Ensuring that the information uploaded or entered does not violate applicable laws or third-party rights.

  • Managing access permissions for its users.

You grant VidhyaEdu the necessary limited rights to host, process, store, transmit, and display School Data solely to provide, maintain, secure, and improve the Services, subject to applicable law and the VidhyaEdu Privacy Policy.

9. Privacy and Personal Information

VidhyaEdu may process personal information in connection with providing the Services.

Our collection, use, storage, and processing of personal information are described in the VidhyaEdu Privacy Policy.

Schools and administrators are responsible for ensuring that their use of the platform and collection of information from students, parents, staff, and other individuals complies with applicable privacy and data-protection requirements.

10. Mobile Applications

VidhyaEdu may provide mobile applications, including applications intended for students, parents, school administrators, staff, teachers, drivers, or other authorized users.

The functionality of mobile applications may depend on:

  • Device compatibility

  • Operating-system requirements

  • Internet connectivity

  • Location permissions

  • Notification permissions

  • Camera or other device permissions

  • Third-party services

  • School configuration

Some features, including attendance, transportation, communication, or location-related functionality, may require specific device permissions.

Users are responsible for granting only the permissions necessary to use the applicable features.

11. Location-Based Features

Certain VidhyaEdu features may use device location information, including staff attendance or transportation-related functionality.

Where such functionality is enabled:

  • Location information may be processed to provide the requested school feature.

  • The availability and accuracy of location information may depend on the user's device, GPS, network, permissions, and other technical conditions.

  • VidhyaEdu does not guarantee that location information will always be perfectly accurate.

  • Schools are responsible for configuring and using location-based features appropriately for their users.

12. Acceptable Use

You agree not to use VidhyaEdu to:

  • Violate any applicable law or regulation.

  • Access accounts or information without authorization.

  • Attempt to bypass security or authentication mechanisms.

  • Interfere with the operation or security of the platform.

  • Upload malicious code, viruses, or harmful files.

  • Attempt to reverse engineer, copy, modify, or exploit the software except where expressly permitted by applicable law.

  • Use the Services for fraudulent, unlawful, abusive, or harmful activities.

  • Misuse another person's personal information.

  • Attempt to gain unauthorized access to another school, user, server, database, or account.

  • Use automated methods to abuse, overload, scrape, or disrupt the Services.

VidhyaEdu may take appropriate action where misuse or prohibited activity is identified.

13. Service Availability

VidhyaEdu aims to provide reliable and secure Services; however, uninterrupted availability cannot be guaranteed.

Services may occasionally be unavailable or limited due to:

  • Scheduled maintenance

  • Emergency maintenance

  • Software updates

  • Server or infrastructure issues

  • Internet or network failures

  • Third-party service failures

  • Security incidents

  • Force majeure events

  • Other circumstances beyond reasonable control

Where reasonably possible, VidhyaEdu may attempt to provide notice of planned maintenance or significant service interruptions.

14. Data Backup

VidhyaEdu may maintain technical backups and recovery mechanisms as part of its infrastructure and service operations.

However, no backup system can guarantee complete prevention of data loss.

Schools should maintain appropriate copies of critical records where necessary.

VidhyaEdu will use reasonable technical measures intended to protect stored information, but cannot guarantee that data will never be lost, corrupted, damaged, or affected by unforeseen events.

15. Third-Party Services

The Services may integrate with or depend on third-party services, platforms, payment providers, communication services, cloud infrastructure, app stores, mapping/location services, messaging services, or other external providers.

VidhyaEdu is not responsible for failures, changes, interruptions, policies, or availability of third-party services that are outside VidhyaEdu's reasonable control.

Use of third-party services may also be subject to the terms and policies of those third parties.

16. Intellectual Property

The VidhyaEdu platform, software, website, design, branding, logos, graphics, interfaces, documentation, source materials, and related content are owned by or licensed to VidhyaEdu and are protected by applicable intellectual-property laws.

Except as expressly permitted, you may not:

  • Copy or reproduce the platform.

  • Resell or redistribute the Services.

  • Modify or create derivative versions of the software.

  • Remove proprietary notices.

  • Use VidhyaEdu branding without authorization.

  • Attempt to obtain or use source code except where permitted by applicable law.

Your School Data remains subject to the rights applicable to that data.

17. Security

VidhyaEdu uses reasonable technical and organizational measures intended to protect the Services and information processed through them.

However, no internet-based system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your credentials, devices, and authorized users.

If you discover a suspected security issue or unauthorized access, you should notify VidhyaEdu as soon as reasonably possible.

18. Suspension and Termination

VidhyaEdu may suspend or terminate access to the Services where reasonably necessary, including where:

  • Payment obligations are not met.

  • These Terms are violated.

  • The account is involved in unauthorized or unlawful activity.

  • The Services are being abused or misused.

  • There is a security or technical risk.

  • Required by law or a lawful authority.

  • Continued access may create a risk to VidhyaEdu, its users, or infrastructure.

A school may discontinue its use of the Services in accordance with the applicable subscription and cancellation terms.

Upon termination, access to the Services may be disabled.

Where applicable and technically feasible, data handling after termination will be governed by the applicable agreement, Privacy Policy, and applicable law.

19. Disclaimer

The Services are provided on an “as available” and “as is” basis to the extent permitted by applicable law.

VidhyaEdu does not guarantee that:

  • The Services will always be uninterrupted.

  • Every feature will be available on every device.

  • The Services will always be completely error-free.

  • Third-party integrations will always remain available.

  • Information entered by users will always be accurate.

  • The platform will meet every specific requirement of every school.

VidhyaEdu will make reasonable efforts to maintain and improve the Services.

20. Limitation of Liability

To the maximum extent permitted by applicable law, VidhyaEdu and its representatives shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of, or inability to use, the Services.

This may include loss of profits, business interruption, loss of opportunity, loss of reputation, or other indirect losses.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

21. Indemnification

To the extent permitted by applicable law, you agree to defend and hold harmless VidhyaEdu and its relevant representatives from claims, losses, liabilities, damages, costs, or expenses arising from:

  • Your violation of these Terms.

  • Unauthorized or unlawful use of the Services.

  • School Data or content submitted by you.

  • Violation of third-party rights.

  • Misuse of your account or credentials.

22. Changes to the Services

VidhyaEdu may add, modify, improve, suspend, or discontinue features of the Services from time to time.

Changes may be made for reasons including:

  • Product improvements

  • Security

  • Legal or regulatory requirements

  • Technical requirements

  • Performance improvements

  • Changes in third-party services

VidhyaEdu does not guarantee that every feature will remain available indefinitely.

23. Changes to These Terms

VidhyaEdu may update these Terms from time to time.

The updated version will be published on the VidhyaEdu website with an updated “Last Updated” date.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

24. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services shall be subject to the jurisdiction of the competent courts in Jaipur, Rajasthan, India.

Nothing in this section prevents a party from seeking urgent or legally available interim relief from a competent court.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally possible.

The remaining provisions shall continue to remain in effect.

26. Entire Agreement

These Terms, together with the VidhyaEdu Privacy Policy, Refund & Cancellation Policy, and any applicable subscription or service-specific agreement, constitute the agreement governing your use of the Services, unless a separate written agreement expressly provides otherwise.
